1. About these terms

The Platform is operated by MatWays, a trading name of Purple Spark Ltd, whose registered office is at 18 Tivoli Road, Cheltenham, GL50 2TF, UK (“MatWays”, “we”, “us”, “our”). MatWays is a marketplace that connects Brazilian Jiu-Jitsu students with independent coaches. We provide the Platform that enables coaching to be requested, delivered, and paid for; we are not the provider of the coaching itself.

2. Eligibility and your account

• You must be at least 18 years old to use the Platform.
• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account.
• A single account may hold both a student and a coach profile; each role is subject to the parts of these Terms that apply to it.

3. How MatWays works

Coaching on MatWays is asynchronous and video-based. A typical lesson flows as follows:

• a student requests a lesson and pays at the point of request;
• the coach approves or declines the request;
• the student uploads their rolling footage;
• the coach returns timestamped feedback to complete the lesson.

Each stage has a time limit. If a stage is not completed within its limit, the lesson is resolved automatically — for example, a request that a coach does not approve in time is declined and refunded, and a delivered lesson awaiting closure is completed automatically.

4. Coaches

Coaches are independent and set their own pricing and any subscription plans they offer. Coaches agree to provide feedback in good faith and within the applicable deadlines, to coach lawfully and professionally, and to complete onboarding (including identity verification through Stripe) before receiving payouts. Coaches are responsible for their own tax and regulatory obligations.

5. Payments, fees, and payouts

• Students pay for lessons and subscriptions at the point of purchase through Stripe. The Platform settles in GBP.
• On completion of a lesson, the coach receives their share of the net lesson fee and MatWays retains a commission. The current coach share is 80% of the net fee, and MatWays absorbs payment-processing fees.
• Promotional codes, where offered, are applied at checkout and are subject to any stated limits and expiry.
• Payouts to coaches are made through Stripe Connect and are subject to Stripe’s terms and verification requirements.

6. Refunds and cancellations

If a coach declines a lesson, or a request or lesson is cancelled automatically because a deadline passed, the student is refunded. Once a coach has delivered feedback, the lesson is treated as fulfilled and is not generally refundable. Nothing in these Terms affects any statutory rights you may have as a consumer.

7. Your content

You keep ownership of the footage, messages, and other content you upload. You grant MatWays a non-exclusive, worldwide licence to host, store, process, and display that content for the purpose of operating and providing the Platform — for example, making your footage available to the coach you have engaged. You are responsible for ensuring you have the right to upload your content and that everyone shown in it has consented to appear.

8. Acceptable use

You agree not to:

• upload unlawful, abusive, harassing, or infringing content, or content you do not have the right to share;
• use the Platform to transact or communicate outside the lesson workflow in order to avoid fees;
• attempt to disrupt, reverse engineer, or gain unauthorised access to the Platform;
• impersonate others or misrepresent your identity or credentials.

9. Intellectual property

The Platform, including its software, design, and branding, belongs to MatWays or its licensors and is protected by intellectual property law. These Terms do not grant you any rights in the Platform other than the limited right to use it in accordance with these Terms.

10. Availability and disclaimers

We aim to keep the Platform available but do not guarantee uninterrupted or error-free service. Coaching feedback reflects the opinion of an independent coach and is provided for training purposes; you are responsible for training safely and within your own limits. The Platform is provided “as is” to the fullest extent permitted by law.

11. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, MatWays is not liable for indirect or consequential loss, and our total liability arising out of or in connection with the Platform is limited to the amount you paid to us in the 12 months before the event giving rise to the claim.

12. Suspension and termination

You may stop using the Platform and delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms or use the Platform unlawfully. Provisions that by their nature should survive termination (such as payment obligations, content licences, and limitations of liability) will continue to apply.

13. Changes

We may update the Platform and these Terms from time to time. When we make material changes to these Terms, we will update the “last updated” date above and, where appropriate, notify you. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have non-exclusive jurisdiction over any dispute, without affecting any mandatory consumer-protection rights available to you locally.
